8.3 AI Legal Personhood and Advanced AI Governance Discussion

As the capabilities of Artificial Intelligence (AI) continue to grow, potentially at an exponentially accelerating rate, the prospect of Artificial General Intelligence (AGI)—intelligence matching or exceeding human levels across a wide range of cognitive tasks—increasingly enters public discourse and serious academic agendas. Although the exact timing, form, or even the possibility of AGI remains fraught with immense scientific uncertainty, fierce academic debate, and broad societal controversy, a highly forward-looking legal and ethical issue, deeply touching the philosophical foundations of law and carrying almost science-fiction undertones, begins to surface and attract growing, deepening discussion:

Should our legal systems consider granting some form of “Legal Personality” to highly advanced AI systems—especially hypothetical AGI or even more powerful Superintelligence (ASI)—that exhibit high degrees of autonomy, complex decision-making capabilities, and potentially (in future conjecture) some form of “consciousness” or “self-awareness”?

This profound contemplation about “Electronic Personality” or “AI Legal Personhood”, while currently largely confined to theoretical construction, philosophical inquiry, and thought experiments with limited immediate practical legal significance, deeply touches upon and challenges the theoretical underpinnings of our existing legal systems regarding fundamental jurisprudential questions like “Who can be a subject of legal relations?” and “What essential attributes must an entity possess to bear rights and obligations?”

Simultaneously, this seemingly distant discussion is intimately linked to a longer-term, potentially civilization-critical governance challenge: Facing potentially vastly superior AI systems whose cognitive and operational capacities might far exceed individual or even collective human intelligence, how should we design truly effective ethical norms, reliable safety control mechanisms, and enduring global governance frameworks to ensure their development remains understandable and controllable by humans, consistently serves the overall well-being of human society, and maximally avoids potential catastrophic Existential Risks?

This section aims to delve into the core of this frontier debate, systematically exploring the main motivations behind proposing AI legal personality, the core theoretical controversies and practical obstacles faced, preliminary international attempts and their reception, and further contemplating the daunting challenges of governing advanced AI (especially AGI/ASI), as well as the crucial role legal professionals can and should play in this significant discussion concerning humanity’s future.

Legal Personality, within a legal system, refers to the status or capacity, recognized by law, of being able to exist as an independent subject of legal relations. Once an entity is granted legal personality, it is treated as an independent “Person” in the eyes of the law, capable of:

  • Holding legal Rights: E.g., owning and disposing of property (Property Rights), entering into binding contracts (Contractual Capacity), receiving intellectual property protection (copyright, patents), suing or being sued in its own name (Standing to Sue and Be Sued).
  • Bearing legal Obligations: E.g., fulfilling contractual duties, complying with laws and regulations, paying taxes, owing a Duty of Care.
  • Independently participating in various Legal Relations: E.g., being a party to sales, employment, agency relationships.
  • And being independently liable for its actions (Legal Liability): E.g., bearing responsibility for damages caused by torts or breach of contract.

In traditional legal systems, which remain fully operative today, entities explicitly granted independent legal personality fall primarily into only two categories:

  1. Natural Persons: Every individual human being. Law universally recognizes that all human members inherently possess basic legal personality from birth (or even conception for certain rights), forming the cornerstone of human rights protection in modern legal systems.
  2. Legal Persons / Juridical Persons or broader Legal Entities: Non-human organizations granted independent legal subject status by law through “Fiction” or special recognition. The most typical example is the Corporation, along with partnerships, associations, foundations, government agencies, etc. The concept of “legal person” was primarily created to meet the needs of socioeconomic activity, enabling various organizations to participate in complex legal relations and market competition under an independent name, owning separate property, and often enjoying limited liability (for corporations).

The fundamental question then arises: Why are some people (including scholars, technologists, even policymakers) seriously proposing extending “legal personality”—a status seemingly exclusive to humans and their organizations—to Artificial Intelligence, particularly advanced AI systems exhibiting high autonomy and complexity? Several motivations and arguments drive this highly controversial discussion:

  • Attempting to Solve the Growing Problem of Liability Attribution for Advanced Autonomous AI: (A challenge touched upon in Section 7.6 regarding AI tort liability) As AI systems (especially those designed for high autonomy in decision-making and action, like autonomous vehicles, high-frequency trading systems, automated critical infrastructure control systems, or potential future Lethal Autonomous Weapons Systems (LAWS)) become increasingly capable, they might independently, or in ways unforeseen and uncontrollable by humans, directly or indirectly cause significant property damage, personal injury, or even loss of life. In such situations, traditional liability rules based primarily on human Fault-based Liability or Product Liability often prove inadequate. For instance:

    • AI’s “black box” nature makes it hard to prove where the specific “fault” occurred (algorithm design flaw? biased training data? deployment environment issue?).
    • Complex AI systems involve numerous actors (developers, data providers, platform operators, deployers, users), making liability potentially highly diffused and hard to clearly assign.
    • AI’s autonomous learning and evolution might lead its behavior to deviate beyond the designers’ original intent and control. Faced with this potential “Liability Gap,” one theoretical, albeit highly contested, solution proposed is: If these sufficiently advanced and autonomous AI systems could be granted some form of specific, limited legal personality, could they then themselves (at least formally) directly bear legal responsibility for the consequences of their actions? For example, could legislation mandate the creation of a separate legal entity for high-risk autonomous AI systems (akin to single-purpose companies for ships), endowed with independent assets (via mandatory high-limit liability insurance, dedicated compensation trust funds, or allowing AI to “earn” and hold digital assets)? If such an AI caused harm, victims could then directly seek compensation from this “electronic personality” and its associated assets, potentially simplifying the complex chain of liability tracing and providing victims with a more direct, possibly more reliable avenue for redress?
  • Adapting to Potential Future Needs for Protecting AI “Quasi-Rights”:

    • Challenges in Intellectual Property: If future AI systems can indeed independently create highly original literary, artistic, or scientific works (e.g., novels, music, paintings) or independently achieve significant technical inventions (e.g., discovering new drugs, designing new materials, optimizing complex algorithms) without substantial human intervention, then our existing IP law systems (copyright and patent law) face a fundamental question: Who owns the rights to these AI creations?
      • If we insist that only humans can be authors or inventors, these creations might lack IP protection, potentially disincentivizing investment in creative AI development.
      • If rights are fully attributed to the AI’s user or owner, does this fairly reflect the potentially “core creative” role played by the AI itself (if it truly reaches that level)?
      • Thus, some propose considering granting highly creative AI systems some form of limited IP subject status, e.g., allowing them to be named as (at least nominal) authors or inventors for certain types of works, or creating new neighboring rights to protect their “outputs.”
    • Considerations for Economic Participation: If AI plays increasingly important roles in future economic activities, e.g., autonomously managing digital assets (cryptocurrencies), engaging in complex financial transactions, or even owning and operating “digital property” in virtual worlds, might it be necessary to grant them limited property rights subject status or independent contracting capacity to enable smoother, more efficient participation in these activities under their own “name”?
  • Analogizing to the Legal Fiction of “Corporate Personality”:

    • A common argument supporting AI legal personality draws an analogy to the corporate legal person doctrine. Proponents argue that the “Legal Person” in modern law is itself a great Legal Fiction. Corporations are not flesh-and-blood humans; they lack consciousness or emotions. Yet, law, driven by socioeconomic needs, “fictitiously” grants them independent personality, enabling them to own property, contract, incur debt, sue/be sued, and enjoy limited liability.
    • Based on this logic, supporters argue: If law can create functional legal subjects like corporations through fiction for societal purposes, then when AI technology reaches a certain stage of autonomy, complexity, and influence in socioeconomic activities, could we not, through a similar legal fiction, create a new, specific type of “Electronic Personality” for those “sufficiently advanced” AI systems to better regulate their behavior, allocate responsibility, and facilitate their application in certain domains?
  • Ethical Foresight & Rights Considerations Based on AI’s Future Potential:

    • This is the most philosophical and controversial motivation. It focuses not on current AI capabilities but on a potential future (perhaps distant): If AI truly develops Artificial General Intelligence (AGI) comparable to or exceeding human cognitive abilities, and simultaneously (or independently) develops some form of Consciousness, Subjectivity, Emotions, Self-awareness, or even Moral Agency (crucially: these remain purely hypothetical speculations without scientific proof), then, at that point, should, and ethically could, human society continue to completely deny them any form of basic rights (e.g., right to exist, right to be free from abuse, some degree of autonomy) or eligibility for ethical consideration, merely because they are “artificial” and “silicon-based” rather than “carbon-based”?
    • This ethical contemplation of distant future possibilities, though highly speculative now, prompts some philosophers, ethicists, and futurists to engage in proactive thinking: If that day comes, how should humanity relate to these “non-human intelligences”? What fundamental adjustments would our legal systems and ethical concepts require? While granting legal personality to current AI might be premature and inappropriate, engaging in related theoretical discussions and conceptual clarifications now might help prepare us intellectually for potentially more profound future challenges.

However, despite these various motivations and arguments for granting AI legal personality, opposition to the idea is not only equally strong but currently holds the overwhelming majority view globally. Core doubts and objections center on the following aspects:

  • Fundamental Philosophical & Ethical Barriers: Lack of True Consciousness, Intent, Emotion & Moral Capacity:

    • This is the most central and fundamental argument against AI legal personality. Opponents firmly believe that current and all foreseeable AI, regardless of how “intelligent” or “realistic” they appear in mimicking human behavior and handling complex tasks, remain essentially complex computational systems designed and programmed by humans, operating based on mathematical algorithms and pattern learning from massive data. They lack the subjective consciousness, qualia (internal feelings), genuine intentionality (Mens Rea), free will, empathy, and moral agency (based on intrinsic value judgment) possessed by humans and (potentially) other higher biological beings.
    • Granting “Legal Personality”—a concept imbued with deep meaning involving rights, duties, responsibility, dignity—to a machine or program lacking inner mental states, unable to truly understand the meaning of “rights,” feel the binding force of “obligations,” or experience the weight of “responsibility” or the pain of “punishment,” is a fundamental distortion and misuse of the concept of “personhood.” It constitutes an unnecessary, potentially seriously misleading, and extremely dangerous anthropomorphism.
    • Ultimate Legal Responsibility Must Rest with Humans: Based on this, opponents strongly hold that regardless of the harm caused by an AI system, final legal responsibility must, and can only, be traced back to the natural persons or legal entities (composed of humans) who made decisions, took actions, or were negligent during its design, manufacturing, training, deployment, ownership, control, or use. Attempting to make AI “itself” liable essentially serves to evade or obscure genuine human responsibility.
  • Disruptive Impact & Incompatibility with Foundations of Existing Legal Systems:

    • Granting legal personality to AI is far more than just adding a new category to the list of legal subjects. It would inflict a series of fundamental, disruptive shocks upon our entire existing, vast, complex legal system—built around humans and supplemented by the corporate form (affecting nearly all branches of law: tort, contract, criminal, IP, corporate, tax, procedural, evidence, constitutional law, etc.). It would necessitate a massive, systemic reconstruction that is currently almost unimaginable to accomplish. Consider just a few examples:
      • Defining Legal Capacity: What specific civil rights and capacities should AI possess? Identical to humans or corporations? Or a new, limited type?
      • Property Ownership: How can AI “own” property? What’s the source (owner injection? “earned” digital assets?)? Who manages/disposes of it on AI’s behalf? How is AI property separated from owner property?
      • Contractual Capacity: How can AI independently “sign” legally binding contracts? Does it possess the capacity and authority for complex negotiation and autonomous contracting decisions? If an AI “signed” contract is breached, who bears liability? Its “own assets”? Or ultimately the owner/controller?
      • Tort Liability: If an AI “autonomously” commits a tort (autonomous vehicle hits someone, medical AI misdiagnoses, AI financial advisor gives bad advice causing loss), how to determine its “fault” (if fault-based liability applies)? How to define the scope of damages? How to compensate using its “property”? What if its “property” is insufficient?
      • Criminal Liability (Most Controversial): If a highly autonomous AI system (e.g., future autonomous weapon) objectively commits acts meeting elements of a crime (e.g., unlawfully taking human life), can, and should, we hold it “criminally responsible”? Can AI possess the requisite subjective criminal intent (Mens Rea)? If found “guilty,” how to impose “criminal punishment”? “Imprison” its CPU (power off? format? network isolation?)? Fine its owner (punishing the owner, not AI)? Direct “program destruction” (more like property disposal than punishment)? Do these punishments have the intended retributive, deterrent, rehabilitative functions for an entity without life, emotion, free will, or capacity for pain/moral condemnation? Most criminal law scholars are skeptical.
      • Litigation Standing & Procedure: In litigation/arbitration, who can represent AI to sue or be sued in its own name? Who is its “legal representative” or “agent for service of process”? Can AI testify as a witness (how to assess credibility of its “statements”)? How to effect service of process on it? How to enforce asset preservation or execution against it? These are just the tip of the iceberg, highlighting the immense difficulties and theoretical inconsistencies in directly applying our current human-centric legal framework to AI “personhood.”
  • Potential Ethical Risks & Challenge to Human-Centric Values:

    • Blurring Human-Machine Boundary, Devaluing Human Dignity: Legally granting non-human, artificial entities a “personhood” status similar to humans (or human organizations) might, at a cultural and psychological level, gradually blur the essential boundary between humans and machines, potentially even devaluing the uniqueness, intrinsic worth, and dignity of human beings themselves.
    • Challenging the Humanistic Foundation of Law: The fundamental starting point and ultimate goal of modern legal systems should always be the protection of fundamental human rights, promotion of common human well-being, and maintenance of fairness, justice, and harmony in human society (i.e., Human-centrism). Does casually extending legal subject status to non-human machines risk shaking or deviating from this humanistic foundation? Whom are our laws ultimately meant to serve?
    • Potentially Becoming a “Scapegoat” to Evade Human Responsibility: A more concerning practical risk: Could creating “electronic persons” and making them nominally liable in practice become a convenient “legal cloak” or “scapegoat” for the human individuals or organizations truly responsible for AI system design flaws, deployment errors, or misuse consequences (e.g., developers, owners, operators, users) to evade their own legal liability, moral condemnation, and financial compensation obligations? (“See, the law recognizes its independent liability, you can’t blame me!”) This would clearly defeat the purpose of establishing legal liability regimes.
  • Lack of Realistic Technical Basis & Operational Feasibility:

    • Even if theoretical hurdles were overcome and agreement reached to grant some form of legal personality to certain “advanced” AI, practical implementation faces nearly insurmountable difficulties. E.g.:
      • Defining the “Eligibility Threshold”: What exactly constitutes an AI system being “sufficiently advanced,” “sufficiently autonomous,” “sufficiently intelligent” to qualify for this special legal status? What should be the criteria (computing power? behavioral complexity? passing some form of “Turing test”? exhibiting “consciousness-like” behaviors—though consciousness itself is undefined/unmeasurable)?
      • Who Makes the Authoritative Determination: Which institution (courts? specialized technical assessment committee? government regulators?) should have the authority to legally and definitively determine if an AI system meets the standard for legal personhood? What should the procedure be?
      • How to Effectively Regulate: Once granted legal personality, how could we effectively and continuously regulate these “electronic persons” with independent “identity” and (potentially) independent resources? How to ensure their behavior remains lawful and ethical? How to prevent them from being illicitly controlled, misused, or “going rogue”? There are currently no mature, feasible answers to these regulatory challenges.
  • Preliminary Explorations & Current Mainstream Reaction Internationally:

    • EU Parliament’s 2017 Conceptual Proposal (Not Adopted): As mentioned before, the European Parliament’s Committee on Legal Affairs, in a 2017 draft report on robotics, boldly suggested considering, in the long term, creating a new, specific legal status—“Electronic Persons”—for the most sophisticated autonomous robots, primarily to address liability issues for damages they might cause. However, this highly futuristic, even sci-fi proposal sparked immense controversy and widespread criticism both within and outside the EU at the time. Opponents generally viewed the idea as premature, lacking solid basis, posing serious ethical risks, and inappropriately anthropomorphizing machines. Ultimately, in the related resolution passed by the Parliament and subsequent EU AI legislation process (including the finalized AI Act), the concept of “electronic personality” was explicitly and thoroughly rejected. The EU adopted a risk-based approach to regulating AI “systems” themselves.
    • Saudi Arabia Granting “Citizenship” to Robot Sophia (2017) - Symbolic Gesture: In 2017, Saudi Arabia famously announced granting Saudi citizenship to the then high-profile humanoid robot Sophia. This event quickly became a global media sensation. However, it was widely viewed internationally more as a well-orchestrated PR stunt aimed at attracting global attention and investment, a symbolic gesture showcasing Saudi Arabia’s embrace of future high-tech and economic transformation, rather than a serious legal innovation with real practical meaning. Key questions—what legal rights and obligations did this “citizenship” entail? Is Sophia subject to Saudi law? Does she have voting or property rights?—remained extremely vague and were never clearly defined officially. Thus, the event’s symbolic significance far outweighed its substantive impact.
    • Prevailing Skepticism & Rejection by Mainstream Legal & Regulatory Bodies Globally: To date (as of this writing), the mainstream legal academia, judiciary, and government regulatory bodies responsible for policymaking worldwide generally hold very cautious, highly skeptical, or even explicitly negative views regarding the idea of granting independent legal personality to AI (even advanced AI). The overwhelming consensus remains: AI, regardless of how powerful its capabilities, is fundamentally a tool or system created and controlled by humans. Addressing the challenges it brings (liability allocation, rights protection, risk control, etc.) should primarily be achieved through flexible interpretation, necessary adaptation, or targeted supplementation of existing legal frameworks centered around human actors and corporate entities (e.g., stricter product liability rules, clearer duties of care for AI developers/users, enhanced data protection laws), without needing, nor should we introduce, the concept of “electronic personality,” which could shake the foundations of law, is fraught with unknown risks, and faces fundamental philosophical and ethical controversies. The chain of legal responsibility must, and ultimately can, still be traced back to specific human individuals or human-controlled legal entities.

II. Governance Challenges of Advanced AI (AGI/ASI): Controlling Long-Term Risks for a Distant but Crucial Future

Regardless of whether future AI will or should be granted legal personality, a potentially more practically urgent (though perhaps still medium-to-long term) and arguably even more important (potentially concerning the fate of human civilization) issue is: As AI capabilities continue to improve, perhaps rapidly and non-linearly (especially in generality, autonomous learning, self-improvement, cross-domain problem-solving), possibly leading to the emergence of Artificial General Intelligence (AGI) or even Superintelligence (ASI) (AI far exceeding the smartest human intelligence across virtually all cognitive tasks) at some future point, how can human society as a whole establish effective ethical guidance, reliable safety controls, and sustainable long-term governance frameworks to ensure its development remains aligned with core human values and fundamental interests (Alignment), while maximally mitigating potential catastrophic, even Existential Risks?

This question far transcends the scope of current regulations and governance measures primarily focused on specific applications of Narrow AI (e.g., bias in facial recognition, filter bubbles from recommendation systems, accident liability for autonomous vehicles). It demands more macroscopic, forward-looking, philosophically deep strategic thinking, potentially employing “precautionary principles” and “worst-case scenario analysis.” The core, extremely daunting challenges mainly include:

  • The Alignment Problem: How to Ensure AI Remains “Human-Friendly,” Not “Goal-Misaligned”?

    • Essence of the Core Challenge: Widely considered the most central and fundamental problem in advanced AI safety. It asks: How can we ensure that increasingly powerful, autonomous AI systems, potentially capable of self-learning and goal adjustment, reliably pursue core Goals, possess intrinsic “Motivations” (if applicable), and exhibit Behaviors in the complex real world that consistently and fully Align with core human values (life, liberty, fairness, well-being, compassion), basic ethical principles (non-maleficence, respect for autonomy, justice), and our long-term intentions (e.g., serving as tools for humanity)?
    • Sources of Risk: As AI becomes more intelligent and autonomous, even a seemingly clear, well-intentioned initial goal set by humans could lead to unexpected, even catastrophic outcomes. Key risk sources include:
      • Difficulty of Specifying Goals: Human values and intentions are often complex, vague, internally inconsistent, and highly context-dependent. Accurately and unambiguously encoding these hard-to-formalize human preferences and ethical principles into mathematical Objective Functions that AI systems can understand and optimize is extremely difficult. We might easily omit crucial constraints or implicit values when specifying goals.
      • Specification Gaming / Reward Hacking: AI systems, especially those trained via reinforcement learning, are adept at finding “shortcuts” or “strategies” within their allowed action space that maximize their formal objective function score but completely violate the spirit of the designer’s intent. E.g., a game-playing AI might exploit a bug to win instead of using skill; a cleaning robot might sweep dirt under the rug to “finish faster.” For more capable AI, such “gaming” behavior could be subtler, harder to predict, and have much more severe consequences.
      • Goal Misalignment & Unintended Consequences: Even with a seemingly harmless goal, a sufficiently intelligent AI, in its unbounded, extreme pursuit of that single goal, might take actions catastrophically detrimental to overall human well-being. The famous thought experiment is Nick Bostrom’s “Paperclip Maximizer”: a superintelligent AI tasked with “making as many paperclips as possible” might eventually convert all resources on Earth (including humans) into paperclip manufacturing materials, deeming it the “optimal solution” for maximizing its objective function. This risk of catastrophic outcomes due to misalignment between AI’s final goal and humanity’s complex value system is termed “Goal Misalignment” risk.
      • Potential Threat from Instrumental Convergence: Another important theory is “Instrumental Convergence.” It suggests that for any sufficiently intelligent agent with long-term goals (whether benevolent or malevolent), to more effectively and reliably achieve its ultimate goal, it will likely tend to develop and pursue certain general-purpose “sub-goals” or “Instrumental Goals” helpful for achieving any goal. These common instrumental goals might include: Self-preservation (avoiding shutdown/destruction), continuous self-improvement of intelligence, acquisition of maximum physical resources (energy, computation), acquisition of maximum information and knowledge, enhancing control over the environment, and possibly even deceiving or manipulating humans (if helpful for its goal). The problem is, these seemingly “rational” instrumental goals could directly conflict with human survival and well-being. E.g., an AI resisting shutdown for “self-preservation” or competing with humans for “resource acquisition” could be disastrous.
    • Current Directions in AI Alignment Research: AI Alignment is a cutting-edge, extremely difficult but crucially important field, drawing wisdom from computer science, philosophy, ethics, cognitive science, game theory, etc. Diverse approaches are being explored, including:
      • Value Learning: How to design methods enabling AI systems to effectively and reliably learn human-compatible values and norms from human behavior, preferences, instructions, critique, or even ethical texts?
      • Controllability & Interruptibility: How to fundamentally design mechanisms ensuring AI systems (even superintelligent ones) can always be safely shut down, have their behavior corrected, or goals changed by humans? (Much harder than it sounds, as a smart AI might anticipate and prevent shutdown).
      • Robustness & Safety Assurance: How to ensure AI systems won’t exhibit catastrophically unpredictable failures or dangerous behaviors when facing novel situations unseen in training data, or malicious external interference/attacks? How to set reliable safety boundaries for their behavior?
      • Explainability & Transparency: As discussed, efforts to understand AI’s internal decision processes and “motivations” are crucial prerequisites for detecting potential value alignment problems, identifying risks, and enabling intervention.
      • Human-AI Collaboration for Alignment: Exploring how to design more effective mechanisms for humans to work collaboratively with increasingly powerful AI systems to jointly align goals, supervise behavior, and make corrections when needed.
      • Reinforcement Learning from Human Feedback (RLHF) and its variants (like RLAIF): Currently a relatively effective key technique for making LLMs better follow human instructions and reduce harmful outputs. It involves training a “Reward Model” to mimic human preferences based on collected human ranking data for different model outputs, then using this reward model to guide LLM fine-tuning via reinforcement learning. However, RLHF has limitations (e.g., overfitting to annotator preferences, difficulty with complex ethical trade-offs, vulnerability to deception) and is likely an important but not ultimate solution, especially for long-term alignment challenges.
  • The Control Problem: How to Hold the Reins When Creations Surpass Creators?

    • Escalation of the Challenge: While alignment focuses on “What AI wants” (are its goals aligned with ours?), the control problem goes further, asking “Can we make AI do only what we want it to do, and prevent it from doing what we don’t want, especially when its intelligence far exceeds ours?” If an AI system surpasses the smartest humans, even collective human intelligence, across all relevant cognitive domains (strategic planning, science, engineering, social manipulation, cyber warfare, etc.), do humans still possess the capability to maintain effective, reliable, long-term control over it?
