To ensure that AI technology can be applied responsibly, compliantly, securely, and sustainably within the legal profession—a field with the highest standards for accuracy, fairness, confidentiality, and accountability—and to maximize its positive impact in enhancing efficiency, improving service quality, and promoting judicial fairness while effectively controlling its potential negative consequences, all types of legal service organizations (large comprehensive law firms, specialized boutiques, corporate legal departments, public legal service providers, and even judicial bodies themselves) urgently need to establish and rigorously implement a systematic internal AI Governance Framework, tailored to their own scale, business characteristics, risk appetite, and regulatory environment.
Building such a framework is not about creating a “one-size-fits-all standard template” that can be simply downloaded and copied, as each organization’s situation varies greatly. It is more akin to a custom-designed, dynamically evolving management system. It requires organizations to approach AI application from a strategic height, viewing it as a core management issue demanding systematic planning, comprehensive risk assessment, clear responsibility allocation, continuous process monitoring, and dynamic optimization and adjustment. However, regardless of the specific form, a sound and effective AI governance framework typically incorporates the following key, interconnected, and indispensable core elements:
I. Clear AI Strategy & Comprehensive Policies: Setting Direction, Defining Boundaries

- Defining Strategic Goals: The organization’s top leadership (e.g., law firm management committee, partnership, or corporate General Counsel and core management team) must first invest time and effort in deep reflection and discussion to clearly answer: What core strategic objectives do we aim to achieve by introducing and applying AI technology?
- Is it to significantly enhance internal operational efficiency, e.g., drastically reduce document review time, accelerate legal research, automate routine tasks, thereby lowering operational costs?
- Is it to improve the client service experience, e.g., providing faster responses, more convenient information access, personalized service delivery, thereby increasing client satisfaction and loyalty?
- Is it to strengthen core professional capabilities and risk control, e.g., using AI for deeper evidence analysis, more comprehensive risk identification, more accurate legal prediction, thereby enhancing service quality and decision-making levels?
- Is it to pioneer entirely new legal service products, models, or business areas, e.g., developing intelligent online legal consultation products, offering AI-based data analysis services, exploring computational law frontiers, aiming for differentiated market competitive advantages?
- Or is it merely to keep pace with basic technological developments, meet client or market expectations for technology adoption, and avoid falling behind competitors? Different strategic goals will directly determine the subsequent resource allocation priorities for AI, the acceptable Risk Appetite, the chosen technology path (e.g., prioritize buying mature commercial products vs. investing in custom system R&D), and the design focus and stringency of the entire governance framework. Strong Leadership Buy-in & Sponsorship: The successful establishment and operation of an AI governance system absolutely depend on the clear, public, continuous, and strong support and active promotion from the organization’s top leadership (e.g., law firm management partners, executive committee; corporate GC/CLO and core management team). Top leadership needs to view responsible AI application as a critical, strategic priority concerning the organization’s future development, core competitiveness, risk control capability, and reputation maintenance, not just an optional tech experiment. They need to commit necessary resources (personnel, budget, time) to AI governance efforts and foster a culture that values AI ethics, security, and compliance throughout the organization.

- Information Technology (IT) & Information Security (InfoSec) Departments: Their core duties involve providing technical support and security operations: technically evaluating candidate AI tools; handling secure deployment, system integration, network protection, access control configuration & management for approved tools; daily monitoring of system health, performance optimization, data backup & recovery; handling technical issues and providing necessary end-user tech support.
- Compliance / Risk Management / Legal Departments (as core governance functions): Their core duties focus on ensuring compliance and controlling risk: typically lead or deeply participate in developing, revising, interpreting internal AI strategy, policies, guidelines; organize and execute comprehensive legal compliance reviews and risk assessments for new AI applications; handle contract negotiations, vendor management, and risk oversight related to third-party AI providers; respond to potential AI-related regulatory inquiries, compliance incidents, or legal disputes.
- Data Protection Officer (DPO) (if established): Their core duties center on personal information protection: specifically responsible for monitoring and assessing the compliance of all AI applications processing personal data; handling AI-related data subject rights requests; serving as the main liaison with data protection authorities on AI matters.
III. Systematic & Proactive Risk Assessment & Management Process: Prevention is Better Than Cure

Systematic & Proactive Risk Assessment & Management Process: Prevention is Better Than Cure”Deeply embedding the risk management philosophy and process into the entire lifecycle of AI application—from initial ideation, selection, development/procurement, to deployment, usage, monitoring, and eventual retirement—and especially conducting a systematic, comprehensive, proactive risk assessment before deciding to introduce and deploy any new AI application, is key to effectively preventing and controlling risks and avoiding reactive fixes (“closing the stable door after the horse has bolted”).
- Define Triggers for Assessment: The organization’s AI policy should specify conditions under which a formal AI application risk assessment process must be mandatory initiated, including (but not limited to):
- Planning to procure, internally develop, or otherwise introduce for the first time any new AI tool, platform, or service not already on the approved list.
- Planning to use an already approved AI tool in a completely new business scenario, or to process more sensitive data types than previously approved, or to use its output for higher-risk decision support.
- A major version update or architectural iteration occurs for an internally used AI tool or its underlying core model (e.g., upgrading from GPT-3.5 to GPT-4o), as this could significantly change its performance, behavior, risks, or compliance requirements.
- A significant change occurs in key external laws, regulations, important industry standards, or regulatory policies relevant to the AI application, requiring reassessment of its compliance.
- Structured Risk Assessment Steps & Framework (Illustrative): AI application risk assessment should follow a structured, methodical, repeatable process, with the entire process and results clearly documented. A typical comprehensive process might include these key steps (refer to Template Two: AI Application Risk Assessment Checklist for more details):
- Clearly Define Scope & Objectives: Before starting, precisely describe: What is the exact purpose of this AI application? What business problem or objective does it aim to achieve? What types and sources of data will it process? Who are the primary users? What kind of output is expected, and how will it be used?
- Comprehensively Identify & Preliminarily Assess Potential Risks: Referencing risk types discussed (e.g., in Sections 6.1 & 6.2), systematically and comprehensively identify all potential risks relevant to this specific application context. E.g.:
- Data Security & Privacy Risks (leakage, misuse, loss, non-compliant PI processing)
- Algorithmic Bias & Discrimination Risks (unfair treatment of groups)
- Model “Hallucination” & Information Inaccuracy Risks (generating false content)
- Intellectual Property Infringement Risks (training data legality, output infringement)
- Legal & Compliance Risks (violating AI-specific regs, industry rules, professional conduct)
- Ethical Risks (harming fairness, transparency, autonomy, dignity)
- Cybersecurity & Adversarial Attack Risks (system breach, deception)

- Reputational & Trust Risks, etc. For each identified risk, conduct a preliminary assessment of its Likelihood (High/Medium/Low) and potential Impact severity (Severe/Moderate/Minor) if it occurs.
- In-depth Analysis of High-Risk Areas & Root Cause Investigation: For risks identified as high likelihood or severe impact, conduct deeper analysis to understand: What are the root causes? What are the potential trigger conditions? What could be the specific potential consequences?
- Design & Document Practical Mitigation Measures: For all risks assessed as Medium or High, relevant responsible departments (IT, Security, Compliance, Business) must collaborate to design specific, actionable, effective control measures aimed at reducing the likelihood of occurrence to an acceptable level or mitigating the negative impact if it occurs. These mitigation measures should be multi-layered and comprehensive, potentially including:
- Technical Controls (stronger encryption, finer access control, IDS, AI security tools)
- Process Improvements (mandatory human review steps, optimized data workflows, independent validation mechanisms)
- Policy Constraints (prohibiting high-risk operations or data types in internal policy)
- Contractual Agreements (negotiating stricter security/confidentiality terms and higher liability with vendors)
- Personnel Measures (targeted risk awareness & skill training, clear role responsibilities & accountability). All designed mitigation measures should be clearly and specifically documented, including content, responsible department, planned completion date, and expected effect.
- Assess Residual Risk After Mitigation: After considering all planned mitigation measures, re-assess the residual risk level for each risk (especially formerly medium/high risks)—the risk remaining after all controls are implemented. Then, determine if this residual risk falls within the organization’s predefined acceptable Risk Appetite / Risk Tolerance.
- Make Decision Based on Risk Assessment & Obtain Formal Approval: Based on the overall risk assessment (especially key residual risks) and consideration of the AI application’s expected business value and strategic significance, the authorized decision-making body (e.g., AI Governance Committee, Risk Management Committee, or top leadership) makes the final decision on whether to approve the introduction or application of the AI. The decision should be Risk-based and may come with conditions (e.g., requiring completion of key mitigation measures before launch). The entire decision process and rationale must be clearly documented.
- Document & Archive the Entire Assessment Process & Results: Thoroughly document the entire risk assessment process (participants, methods/tools used, all identified risks, analysis details, designed mitigations, residual risk assessment, final recommendations, and approval decisions) in writing, and properly archive it according to organizational record management policies. This serves not only potential compliance or audit needs but also as a crucial basis for future review, learning, and continuous improvement.
- Continuous Post-Deployment Risk Monitoring & Re-assessment: Once an AI system is deployed, its environment, threats faced, and performance can change. Risk management must not stop before deployment. Establish mechanisms to continuously monitor the AI system’s operational status, security incidents, performance metrics, user feedback, and changes in the external environment (new attack methods, new regulations). Periodically (e.g., annually or upon major changes), re-assess the risk posture of deployed AI applications and adjust or add risk controls as needed to ensure risks remain within acceptable levels.
IV. Comprehensive Training & Continuous Awareness Raising: Internalizing Governance Requirements into Action

No matter how perfect the policies, rigorous the processes, or advanced the technologies, if the employees actually using the AI tools lack the necessary knowledge, skills, risk awareness, and compliance consciousness, the entire governance framework could become merely a formality. Therefore, comprehensive, continuous, targeted training and awareness-raising activities are the key guarantee for ensuring AI governance requirements are truly internalized into employees’ daily work habits and translated into conscious actions.
- Cover All Relevant Personnel, Tailor Content: Training should be as broad as possible, covering all employees who might directly or indirectly interact with, use AI tools, or whose work might be affected by AI applications. This includes not just frontline lawyers, paralegals, judicial/prosecutorial assistants, legal specialists, but also administrative support staff, IT personnel, compliance & risk managers, knowledge managers, and managers/partners at all levels. However, the content depth, focus, and format of training should be differentiated based on the roles, responsibilities, and actual needs of different positions and levels, achieving precision in education.
- Core Training Content Modules: A comprehensive AI governance training program should cover at least these core modules:
- AI Fundamentals & Core Concepts: Using plain language, introduce basic concepts like AI, ML, DL, LLMs, Generative AI (AIGC); introduce the organization’s approved main AI tools and their core functions; most importantly, clearly and repeatedly emphasize the core capability limits and inherent limitations of current AI tech (esp. LLMs), particularly major risks like “hallucinations,” bias, outdated knowledge, to help employees form realistic expectations of AI capabilities, dispelling myths or fears.
- In-depth Interpretation of Internal AI Policies & Norms: Detailed explanation of the organization’s official AI Use Policy and related specific operating guidelines, ensuring every employee clearly understands what is allowed, what is strictly prohibited, under what conditions certain actions are permitted, and what operational procedures and approval requirements must be followed. Use concrete examples (real internal cases or public industry cases) to illustrate practical application and consequences of violation.
- “Red Line” Awareness & Practical Requirements for Data Security & Client Confidentiality: With highest priority, maximum emphasis, and utmost seriousness, repeatedly stress the extreme importance of protecting client information and adhering to confidentiality duties in the legal profession. Using AI application scenarios, detail which types of information are absolutely forbidden from being input into external AI systems; what specific anonymization requirements and secure operating practices must be followed when using approved internal tools for sensitive data; and the catastrophic consequences of data breaches and personal liability.
